These terms keep things clear between you and SkaffaldOS. Please read them, because by using the Service you agree to them.
These Terms of Service ("Terms") govern your access to and use of the SkaffaldOS platform and websites (the "Service"), provided by SkaffaldOS ("SkaffaldOS," "we," "us," or "our"), based in Oregon, United States. By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you agree on its behalf and confirm you are authorized to do so.
SkaffaldOS provides an all-in-one back-office platform for trades and field-service businesses, which may include a website builder, the Find a Pro marketplace, lead and client management, estimates and invoicing, payments, scheduling, dispatch, fleet, inventory, and related tools. We may add, change, or remove features over time.
You must be at least 18 years old to use the Service. You agree to provide accurate account information and to keep it up to date. You are responsible for keeping your login credentials secure and for all activity that happens under your account. Notify us promptly if you suspect unauthorized use.
By creating an account, you agree to receive service and transactional messages from us, such as billing notices and important account or security updates. We may also send product updates, tips, and marketing emails; you can opt out of marketing emails at any time using the unsubscribe link, without affecting the transactional messages you need to use the Service.
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period, and you will retain access until then. Except where required by law, fees already paid are non-refundable. You can export your data before or after cancellation as described in our Privacy Policy.
You retain all rights to the data and content you put into the Service ("Customer Data"). You grant us a limited license to host, process, and display Customer Data as needed to provide and support the Service. We may also create aggregated and de-identified data from your use of the Service — data that does not identify you or any individual — and may use, share, and sell that de-identified data to operate, improve, and monetize the Service, as described in our Privacy Policy. You are responsible for your Customer Data, including having the right to use it and complying with applicable laws for the information you collect about your own leads, clients, and employees.
You agree not to use the Service to:
If you publish a business listing on the Find a Pro marketplace, you are responsible for the accuracy of that listing, including any license, insurance, and service claims. We may remove listings that are inaccurate, misleading, or in violation of these Terms.
The Service, including its software, design, and content we provide, is owned by SkaffaldOS and protected by intellectual property laws. These Terms do not grant you any ownership of the Service. Any feedback you share with us may be used to improve the Service without obligation to you.
The Service relies on third parties such as Stripe, SendGrid, Vercel, and Mapbox, and may connect to other services you choose to use, such as Google Calendar. Your use of those services is subject to their own terms, and we are not responsible for them.
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
To the fullest extent permitted by law, SkaffaldOS will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the twelve months before the claim arose.
You agree to indemnify and hold SkaffaldOS harmless from claims, damages, and expenses arising out of your Customer Data, your use of the Service, or your violation of these Terms or applicable law.
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, fail to pay, or use the Service in a way that risks harm to others or to the Service. On termination, your right to use the Service ends, and we will make your data available for export for a limited period as described in our Privacy Policy.
These Terms are governed by the laws of the State of Oregon, United States, without regard to its conflict of laws rules. Subject to the arbitration section below, any disputes not resolved by arbitration will be handled in the state or federal courts located in Oregon, unless applicable law requires otherwise.
Please read this section carefully — it affects how disputes between you and SkaffaldOS are resolved and limits your rights.
Binding arbitration. Except as set out below, you and SkaffaldOS agree that any dispute or claim relating to these Terms or the Service will be resolved by final and binding arbitration on an individual basis, rather than in court. Arbitration will be administered by a recognized arbitration provider under its applicable rules, and judgment on the award may be entered in any court with jurisdiction.
Class action waiver. You and SkaffaldOS agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative action. The arbitrator may not consolidate more than one person’s claims.
Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive or equitable relief in court to protect its intellectual property or confidential information. Nothing in this section limits rights that cannot be waived under applicable law.
Opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing privacy@skaffaldos.com with your name and a statement that you wish to opt out of arbitration. Opting out will not affect any other part of these Terms.
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.
